Since December 2025, ODI Law has advised Hidroelektrarna Dabar d.o.o. Trebinje (HE Dabar) in connection with an amendment to its EUR 189.4 million loan agreement with The Export-Import Bank of China. The loan is financing the construction of the Dabar hydropower plant, which forms part of the hydropower system on the Trebišnjica River. The project has an estimated total investment value of approximately EUR 400 million.
In addition to HE Dabar, the financing structure involved other key project stakeholders, including Mješoviti holding “Elektroprivreda Republike Srpske” – Matično preduzeće a.d. Trebinje (ERS), which acts as contractual guarantor. HE Dabar’s obligations are additionally secured by a guarantee issued by Republika Srpska.
As part of the mandate, ODI Law worked closely with HE Dabar, ERS, the Ministry of Finance of Republika Srpska and The Export-Import Bank of China to prepare, negotiate and coordinate a comprehensive package of legal, financial and corporate documentation. The legal advice included, among other matters, preparing and negotiating an amendment to the loan agreement, arranging the bank’s waiver of its rights in relation to the relevant breach, amending the guarantee issued by Republika Srpska, and preparing the corporate and other legal documentation required to satisfy the contractual conditions precedent and enable the continued financing of the project.
The mandate required the coordination of multiple contractual and institutional stakeholders and the combination of expertise in banking and finance, corporate law and international law in the context of a complex cross-border infrastructure financing.
