ODI Law advised Uradni list on the sale of the UL info tok platform

Ensuring continuity of access to legislative and public tender information

In a rapidly changing business environment, timely access to relevant information is essential for monitoring compliance, identifying opportunities and making informed decisions. Digital platforms that deliver legislative updates, public tender information and selected legal content in a structured and targeted way play an important role in that process. This was the context behind the sale of the UL info tok platform by Uradni list d.o.o.

Sale of the UL info tok platform to Razpisi d.o.o.

Uradni list d.o.o. published a public invitation for expressions of interest for the purchase of its market activities, including the UL info tok portal service. The platform enabled users to receive tailored electronic notifications on selected content, particularly in the areas of public procurement and publications in the Official Gazette of the Republic of Slovenia.

As part of the liquidation-related process, the sale enabled the transfer of a digital service with an established market function to a specialised provider. The buyer, Razpisi d.o.o., operates the Javnirazpisi.com portal and has since integrated UL info tok users into its own service environment.

ODI Law’s role

ODI Law advised Uradni list d.o.o. on the seller-side legal aspects of the transaction, including contractual support, negotiations and regulatory considerations. Given the digital nature of the transferred service and related user relationships, the work required careful attention to personal data protection and GDPR, as well as a compliant and risk-conscious transfer process.

ODI team included Senior Associates Tilen Kosec and Jasmin Dizdarević.

“In this transaction, the legal work had to reflect the nature of the asset being transferred: a digital, user-facing service closely connected with regulatory aspects. We are pleased to have supported Uradni list in a process that required careful contractual structuring and a clear understanding of personal data protection requirements,” said Tilen Kosec, attorney at ODI Law.

For ODI Law, this mandate reflects the firm’s continued work on transactions involving digital platforms, regulated information services and asset transfers where contractual precision and understanding of the regulatory framework are essential.

We are grateful to Uradni list d.o.o. for their trust and pleased to have supported a transaction that helps ensure continuity of access for subscribers to relevant legislative and public tender information.
